1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Smart Zero platform and related services provided by World Class Title ("WCT," "we," "us," or "our"), accessible at smart.worldclasstitle.com. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Description of Services

World Class Title provides title insurance, real estate closing, and settlement services in the state of Ohio. The Smart Zero platform facilitates:

• Digital onboarding for real estate agents, buyers, and sellers
• AI-assisted contract extraction and review
• Title search ordering and reconciliation
• Payoff demand letter generation and transmission
• Mortgage release tracking
• Secure communication between transaction parties
• Underwriting guidance and bulletin monitoring

3. User Accounts and Access

3.1 Employee Accounts

WCT employees access the platform through authenticated accounts. Each employee is assigned a role (admin, manager, operations, processor, closer, or viewer) that determines their level of access. Employees are responsible for maintaining the confidentiality of their login credentials.

3.2 External User Access

Real estate agents, buyers, and sellers access specific features through secure, time-limited tokens sent via email. These tokens expire after 7 days and are valid for a single transaction only. You must not share your access links with unauthorized individuals.

4. Seller Authorization

By completing the seller authorization form and providing your digital signature, you:

• Authorize World Class Title to conduct a title search on your property using public records
• Authorize World Class Title to request payoff statements from your mortgage lender(s) on your behalf
• Certify that the information you provide is accurate to the best of your knowledge
• Consent to the electronic delivery of documents and communications related to your transaction

Your digital signature (both typed legal name and drawn signature) constitutes a legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA).

5. Identity Verification & Document Upload

Our platform offers optional identity verification through Stripe Identity and mortgage statement upload with AI-powered document analysis:

• Identity verification requires a government-issued photo ID and a selfie for matching
• Verification is processed by Stripe and subject to Stripe's Terms of Service and Privacy Policy
• Uploaded mortgage statements are analyzed using AI to extract account details and are stored securely with encryption
• Both verification and document upload are optional — you may choose to provide information manually

6. Payoff Demand Letters

When you authorize a payoff for a mortgage on your property, World Class Title may automatically generate and transmit a payoff demand letter to your lender via email or fax. This letter includes:

• Your name and property address
• Partial account information (last 4 digits only)
• Your closing date
• Your digital signature as authorization

By authorizing a payoff, you consent to the generation and transmission of this letter.

7. Accuracy of Information

You are responsible for providing accurate and complete information. WCT relies on the information you provide to process your transaction. Inaccurate information may result in delays, additional costs, or complications with your closing.

While we use AI-assisted tools to extract contract data, all extracted information is subject to human review and confirmation. AI-generated summaries and guidance (including underwriter bulletins) are informational and do not constitute legal advice.

8. Intellectual Property

The Smart Zero platform, including its design, code, AI models, workflows, and all related technology, is the proprietary property of World Class Title and Smart Title Ventures. All rights are reserved. You may not:

• Copy, modify, or distribute any part of the platform
• Reverse engineer or attempt to extract source code
• Use the platform for any purpose other than its intended real estate transaction services
• Scrape, crawl, or automatically extract data from the platform

9. Limitation of Liability

To the maximum extent permitted by law:

• WCT provides the Smart Zero platform "as is" without warranties of any kind
• WCT is not liable for indirect, incidental, special, or consequential damages arising from your use of the platform
• WCT's total liability shall not exceed the fees paid by you for the specific transaction in question
• AI-generated content (contract extraction, underwriting guidance, bulletin summaries) is provided for informational purposes and may contain errors

10. Indemnification

You agree to indemnify and hold harmless World Class Title, its officers, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your provision of inaccurate information; or (d) your violation of any third-party rights.

11. Dispute Resolution

Any dispute arising from these Terms or your use of our services shall be governed by the laws of the State of Ohio, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in Franklin County, Ohio.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform or via email. Continued use of the platform after changes are posted constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your access to the platform at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the platform ceases immediately, though data retention obligations continue as described in our Privacy Policy.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
